Good knowledge of personal property rules and liability rules (acquired in the first year course)

Goal
At the end of the course, the student should be able to:
Understand the underpinning of principles governing businesses in France, UK and US;
Be comfortable with legal terms and be able to identify pro and cons of each business structure available in a specific country.
Know the principes related to business managers, directors liability and partners and shareholders (including criminal liability).
Identify the initiatives to prevent or limit the risks when a business is facing troubles;
Understand the framework in which a business is working and therefore be able to identify anti-concurrential conducts, trade-related aspects of criminal liability.

Presentation
The course will cover some general principes related to the creation, functioning and end of business.
In particular, it will touch the notions of merchant and craftsman, as well as the one of "fond de commerce" (business asset).
It will cover both general and special aspects of Company Law.
It will also cover Bankrupcy Law and Unfair Competition.
Any of these topics will be afforded in both a civil and common law perspective.
