Prerequisite
To efficiently follow the course, students should :
1- Listen to the course or to the videos broadcast in course, take down notes and ask questions if they do not understand anything during the course;
2. Read the legal documents and practical cases given in class, highlight the key points and keep their brain engaged !
3. Find the legal solution of the case study dealing with company law in the course or on internet. Then, give an answer after recalling the right rule, its application to the facts and always justify your position. It’s up to you to participate now!

Goal
At the end of the course, the student should be able to:
1- Master and understand the basic legal vocabulary of company law and the main principles of company law to hold a managerial position (limited/unlimited liability company, commercial or civil company….)
2- Choose the most suitable legal structure to start up his business
3- Know how to set up a company
4- Adopt the correct reflexes when facing a problem of company law
5- Know how to find the legal documentation to answer a question of company law when it is possible

Presentation
- This course provides legal knowledge to understand company law in French law : birth, life and governance of a company and its dissolution will be studied;
- This course helps students to choose the most suitable legal structure for their economic activity: status of sole trader or status of Company as an autonomous legal person;
- This course provides students with the main characteristics of the most common commercial companies (SARL, Société Anonyme, Société en commandite simple/ par actions, Société par actions simplifiée).
This course is an interactive course : after explaining Company law, the professor will give practical cases in law to students and will ask them to answer by justifying their answer.
The pedagogy of the teacher is divided into three parts:
- theoretical basis provided by the teacher,
- implemented in practical cases or analyzes of legal documents,
- personal work (or in group) of deepening, to be carried out outside the hours of course.

Evaluation
50% of the assessment is based upon continuous assessment and 50% of the assessment is based upon the final exam.
